OVERVIEW

Welcome to David Castillo Plays. The terms "we," "us," and "our" refer to David Castillo Plays. This site (the "Services") lets independent toy and game retailers browse the product lines David Castillo represents, apply for a wholesale account, and place orders.

These Terms of Service (these "Terms"), together with our Privacy Policy, describe your rights and responsibilities when you use the Services. Please read them carefully. By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you should not use the Services.

SECTION 1 - ACCESS AND ACCOUNTS

By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence and are authorized to act on behalf of the business you represent. You are responsible for the accuracy of the information you provide and for the security of your account credentials and all activity under your account.

SECTION 2 - WHOLESALE ACCOUNTS

The Services are intended for business-to-business use by independent toy and game retailers, not for individual consumers. Wholesale pricing is not shown to the public and is visible only to accounts that have been approved as wholesale customers. Creating an account or logging in does not by itself grant wholesale pricing or ordering access — approval is at our sole discretion, based on the business information you provide when you apply. We may decline, suspend, or revoke wholesale account status at any time.

SECTION 3 - OUR PRODUCTS

We make every effort to accurately represent the products and lines shown on the Services, but actual products may differ from their depiction (for example, due to your screen's color rendering). Product descriptions, minimum order quantities, case pack sizes, and availability are subject to change at any time without notice, and we may limit quantities available to any account.

SECTION 4 - ORDERS

Placing an order is an offer to purchase, which we may accept or decline at our discretion. An order is not accepted until we confirm it. Please review your order carefully before submitting — we may be unable to accommodate cancellation requests after an order is accepted. You represent that your purchases are for resale in the ordinary course of your business, not for personal or household use.

SECTION 5 - PRICING AND PAYMENT

Prices are subject to change without notice and the price in effect at the time your order is placed will be reflected in your order confirmation. Posted prices do not include taxes, shipping, or handling unless stated otherwise. A multi-vendor order is placed as one order per vendor, and each vendor's order is settled separately. Orders on net terms are invoiced to you directly by the vendor under the payment terms between you and that vendor; we collect no payment for terms orders. Where a vendor accepts card payment, your card is securely saved with Stripe at checkout and is not charged at that time. Your order is reviewed and may be adjusted (for example, at your request), and your saved card is charged for the final order total when the order is submitted to the vendor. Payment is processed by Stripe and made to that vendor through the vendor's own Stripe account — the vendor, not us, is the merchant for your purchase, and by choosing card payment you authorize that vendor's charge, in the final order amount, to the payment method you provide. Refunds and payment disputes for card orders are handled with the vendor as merchant. See our Privacy Policy for how payment information is handled.

SECTION 6 - SHIPPING AND DELIVERY

All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by carriers, customs processing, or events outside our control. Once we transfer products to the carrier, title and risk of loss pass to you.

SECTION 7 - INTELLECTUAL PROPERTY

The Services, including all text, images, graphics, and their selection and arrangement, are owned by David Castillo Plays or its licensors and are protected by applicable intellectual property laws. You may use the Services for your business's ordering purposes only, and must not reproduce, distribute, or create derivative works from the Services without our prior written consent. Product names, brand names, and logos shown on the Services belong to their respective manufacturers.

SECTION 8 - THIRD-PARTY LINKS AND TOOLS

The Services may link to or embed tools operated by third parties (for example, a scheduling calendar). We do not control and are not responsible for third-party content, tools, or sites. Any use of them is at your own risk and subject to that third party's own terms.

SECTION 9 - PRIVACY

All personal information we collect through the Services is subject to our Privacy Policy. By using the Services, you acknowledge that you have read it.

SECTION 10 - FEEDBACK

If you send us ideas, suggestions, or feedback about the Services, you grant us a perpetual, worldwide, royalty-free license to use it for any purpose, including improving the Services, without any obligation to compensate you.

SECTION 11 - ERRORS AND OMISSIONS

The Services may occasionally contain typographical errors or inaccuracies relating to product descriptions, pricing, or availability. We reserve the right to correct these and to cancel or adjust orders affected by them, even after an order has been submitted.

SECTION 12 - PROHIBITED USES

You agree not to use the Services for any unlawful purpose, to infringe our or others' intellectual property, to harass or harm any person, to transmit false or misleading information, to attempt to access accounts other than your own, or to interfere with the security or normal operation of the Services. We may suspend or terminate your access if we determine you have violated these Terms.

SECTION 13 - TERMINATION

We may terminate this agreement or your access to the Services at any time, in our sole discretion, without notice. You remain responsible for all amounts due as of the date of termination.

SECTION 14 - DISCLAIMER OF WARRANTIES

The Services and information on them are provided "as is" and "as available," without warranties of any kind, to the fullest extent permitted by law. We do not guarantee that the Services will be uninterrupted, timely, secure, or error-free.

SECTION 15 - LIMITATION OF LIABILITY

To the fullest extent permitted by law, David Castillo Plays and its officers, employees, agents, and service providers will not be liable for any indirect, incidental, punitive, special, or consequential damages arising from your use of the Services or any product ordered through them.

SECTION 16 - INDEMNIFICATION

You agree to indemnify and hold harmless David Castillo Plays and its officers, employees, and agents from any claims, damages, or liabilities, including reasonable attorneys' fees, arising from your breach of these Terms, your violation of any law or third-party right, or your use of the Services.

SECTION 17 - SEVERABILITY

If any provision of these Terms is found unenforceable, that provision will be enforced to the fullest extent permitted by law, and the rest of these Terms will remain in effect.

SECTION 18 - ENTIRE AGREEMENT; WAIVER

These Terms and our Privacy Policy constitute the entire agreement between you and us regarding the Services and supersede any prior agreements. Our failure to enforce any part of these Terms is not a waiver of our right to do so later.

SECTION 19 - GOVERNING LAW

These Terms are governed by the laws of the state where David Castillo Plays is headquartered, without regard to its conflict-of-law provisions. You and David Castillo Plays consent to the jurisdiction of the courts located there.

SECTION 20 - CHANGES TO THESE TERMS

We may update these Terms from time to time by posting the revised version here. Your continued use of the Services after a change is posted constitutes acceptance of that change.
